1. Agreement to these terms

These Terms of Use (“Terms”) are an agreement between you and Astricx (“Astricx”, “we”, “us”, or “our”). They govern your access to astricx.com, Zync, and related applications, websites, features, content, and services that link to these Terms (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services for a company, club, association, team, facility, or other organisation, you confirm that you have authority to accept these Terms for that organisation.

2. Eligibility and children

You must be legally capable of entering into this agreement. A child may use the Services only with the involvement and permission of a parent, guardian, or authorised organisation where required by applicable law. The responsible adult or organisation must supervise the child’s use and have authority to provide any submitted personal data.

3. Accounts and community roles

• Provide accurate, current information and keep it updated.
• Keep credentials and verification codes confidential and promptly notify us of suspected unauthorised access.
• You are responsible for activity conducted through your account unless caused by our failure to use reasonable security measures.
• Circle owners and administrators must use their permissions responsibly, invite only appropriate participants, and respect the rights and expectations of members.
• Roles, permissions, and community visibility may determine who can view, change, or manage information within a circle.

4. Acceptable use

You may use the Services only lawfully and in accordance with these Terms. You must not:

• impersonate another person, misrepresent authority, or submit information you have no right to use;
• harass, threaten, exploit, discriminate against, or endanger another person;
• upload unlawful, infringing, deceptive, malicious, or harmful content;
• attempt to access another account, bypass access controls, probe security, or interfere with the Services;
• introduce malware, automate abusive requests, scrape restricted data, or place unreasonable load on our systems;
• reverse engineer or copy the Services except where applicable law expressly permits it;
• use the Services to violate privacy, intellectual property, sporting, financial, consumer, or other legal obligations.

5. Your content and community information

You retain ownership of content you submit. You grant Astricx a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, transmit, and display that content only as needed to operate, secure, improve, and support the Services and to meet legal obligations.

You confirm that you have the rights and permissions needed to submit the content and make it available to the relevant community. You are responsible for deciding what to share. Messages, events, polls, sporting activity, expense records, and other content may be visible to members and administrators according to the feature and role settings.

We may remove or restrict content that violates these Terms, creates risk, or is required to be removed by law. We do not endorse user content and are not responsible for statements, commitments, or conduct of community members.

6. Shared expenses and records

Zync may help communities record contributions, collections, payments, obligations, balances, and settlements. These features are coordination and recordkeeping tools. Unless a feature expressly says otherwise, Astricx is not a bank, payment institution, financial adviser, escrow agent, or party to arrangements between members.

Members are responsible for checking entries, resolving disagreements, complying with applicable financial and tax obligations, and using authorised payment methods. Do not enter passwords, PINs, full card details, or other credentials into free-text fields.

7. AI-assisted features

Where the Services offer AI-assisted features, outputs may be incomplete, inaccurate, or unsuitable for a particular purpose. Review outputs before relying on, publishing, or acting on them. Do not use an AI output as the sole basis for decisions affecting safety, legal rights, medical care, employment, credit, or significant financial interests.

You are responsible for inputs you provide and for your use of outputs. Do not submit confidential, sensitive, or third-party information unless you have authority to do so and the feature is intended to receive it. Feature-specific notices may explain additional limitations or data practices.

8. Third-party services

The Services may rely on or link to third-party services, app stores, facilities, communication providers, maps, payment methods, or websites. Their terms and privacy practices apply to their services. Astricx does not control and is not responsible for third-party services, but this does not limit any responsibility we cannot lawfully exclude.

9. Astricx intellectual property

The Services—including software, product design, interfaces, branding, documentation, and content provided by Astricx—are owned by Astricx or its licensors and protected by applicable laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose. No other rights are granted.

10. Changes, availability, and termination

We may update, improve, suspend, or discontinue features. We aim to operate reliable Services but do not promise uninterrupted or error-free availability. Maintenance, security events, network conditions, third-party failures, or circumstances beyond our reasonable control may affect access.

You may stop using the Services at any time. We may suspend or terminate access where reasonably necessary to protect the Services or others, address non-payment under separate commercial terms, comply with law, or respond to a material breach. Where appropriate, we will provide notice and an opportunity to resolve the issue.

11. Disclaimers

To the extent permitted by law, the Services are provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability. Information in the Services is not professional legal, medical, financial, or safety advice. Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

12. Limitation of liability

To the maximum extent permitted by law, Astricx will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, goodwill, opportunities, or data, arising from use of the Services. This limitation does not apply to liability that cannot legally be limited or excluded, including liability arising from fraud or wilful misconduct where applicable.

You remain responsible for maintaining appropriate records, backups, supervision, and safety procedures for your community activities.

13. Responsibility for misuse

To the extent permitted by law, you will be responsible for losses, claims, and reasonable costs arising from your unlawful use of the Services, your content, or your material breach of these Terms. This provision does not require you to be responsible for loss caused by Astricx.

14. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to mandatory consumer rights and any dispute process required by law, courts with jurisdiction in Kottayam, Kerala will have jurisdiction over disputes arising from these Terms or the Services.

Before filing a claim, please contact us and provide a clear description of the issue. We will try in good faith to resolve it informally.

15. Changes to these terms

We may update these Terms as the Services or legal requirements change. We will publish the updated version here and revise the “Last updated” date. If a change materially affects existing users, we will provide additional notice where required. Continued use after updated Terms take effect constitutes acceptance to the extent permitted by law.
